of 101,647,094.00 PLN, fully paid in, acting on behalf of and for the benefit of:
PAK – PCE Biopaliwa i Wodór sp. z o.o., with its registered office in Konin at ul. Przemysłowa 158, 62 - 510 Konin, registered in the National Court Register (KRS), 9th Commercial Division of the KRS at the District Court for Poznań-Nowe Miasto and Wilda in Poznań under number 0000864139, with Tax Identification Number (NIP): 665-30-33-976, with share capital of 20,000,000.00 PLN, invites you to submit a technical and commercial proposal.
1. Subject of the contract.
The subject of the contract is the performance of tests and inspections of two MEGC containers with serial numbers WGC40-S00187 and WGC40-S00188, along with maintenance activities and the provision of the required documentation, in accordance with the scope specified in Appendix No. 1.
Upon completion of all tests, trials, and assembly work, the Contractor shall perform a final flush of each container with fuel-cell-grade hydrogen, leaving hydrogen under a pressure of at least 20 bar in each container. The Contractor shall confirm the required hydrogen quality after flushing and provide a document confirming the result for each container.
Work and replacement of parts not covered by the basic scope require the Ordering Party’s prior approval, following the submission of a description, justification, price, and impact on the completion date. The identification of a defect does not constitute consent to perform additional repairs.
2. Service Completion Date.
The Contractor shall specify in the bid the proposed start date for the work and the maximum duration of the service in calendar days, calculated from the date of the formal handover of the container to the Contractor until the date of completion of the work and submission of the complete documentation required in accordance with Appendix No. 1.
If the work is performed sequentially for each container, the Contractor shall provide the above information separately for each container.
The maximum allowable duration of the service may not exceed [90] calendar days. Any bid proposing a longer duration will be rejected.
3. Location of service performance.
The work will be performed at the Contractor’s facility. The Contractor shall specify the exact address of the work site in the bid.
Transportation of the containers to the work site and return transportation shall be organized and financed by the Ordering Party. The Contractor shall ensure the unloading, loading, and movement of the containers at the work site. The costs of these activities must be included in the bid price.
The handover of the containers will take place based on a handover report. The fill level and pressure in the containers upon handover to the Contractor will be agreed upon prior to transport.
4. Payment Terms.
Settlement will be made separately for each container after the work pertaining to it has been completed and the complete required as-built documentation has been submitted.
The basis for issuing an invoice will be an acceptance report signed by the Parties confirming the proper performance of the contracted scope of work. The discovery of defects or non-conformities in a container during inspections does not in itself constitute grounds for refusing acceptance of a properly performed service.
Payment will be made by bank transfer within 30 days of receipt of a properly issued invoice. The date of payment shall be the date on which the Ordering Party’s account is debited.
5. Criteria for Evaluating Bids.
The criterion for evaluating bids is the total net price for the performance of the entire scope of the contract—weighted at 100%.
The score will be calculated using the following formula:
P = (lowest total net price among the bids eligible for evaluation / total net price of the bid being evaluated) × 100.
The sum of the prices of all mandatory items for both containers shall be used for evaluation, after converting bids submitted in EUR to PLN in accordance with Section 7.
6. Deadline for submitting bids.
1) Bids may be submitted until November 9, 2026, at 10:00 a.m.
2) Bids submitted after the deadline will not be considered.
7. How to prepare a bid.
1) Bids must be submitted in the form and by the deadline specified in this invitation.
The organizer of the procedure accepts bids in one of two forms:
- electronically to the email address: (kuznowicz.barbara@zepak.com.pl),
- via the procurement platform on which the procurement is being conducted.
The contractor may submit a bid via the chosen method of communication, provided the deadline for bid submission specified in the request for proposals is met.
2) The bid may be submitted in PLN or EUR. All price items must be stated in a single currency. The contractor shall indicate net prices and the applicable VAT rules, if applicable.
The price includes all costs necessary to perform the basic scope of work specified in Appendix No. 1, in particular:
a) labor, materials, and parts;
b) required disassembly and assembly;
c) testing and trials;
d) final hydrogen purging, hydrogen supply, and confirmation of its quality after purging;
e) the participation of the relevant testing bodies and the required fees;
f) preparation and submission of the required documentation;
g) unloading, loading, and moving containers at the work site.
The price does not include the transportation assigned to the Ordering Party in Section 3.
The Bid Form must specify separately for each container:
a) the price of testing, inspection, and maintenance services, including the required fees and documentation;
b) the price of the final hydrogen purge, including hydrogen and confirmation of its quality.
All of the above items are included in the total price to be evaluated.
Solely for the purposes of evaluating bids, prices in EUR will be converted to PLN at the average EUR exchange rate announced by the National Bank of Poland (NBP) on [date]. If no exchange rate is announced on that date, the last exchange rate announced prior to that date will be used. The contract will be settled in the currency in which the bid was submitted.
8. Opening of Bids.
Bids will be opened on the procurement platform without the presence of the bidders.
9. Costs of preparing a bid.
1) The Contracting Authority shall not bear any costs associated with the preparation of bids.

the expiration of the bid submission deadline specified in Section 6 of the Request for Proposals. In the event that a second round is conducted in the form of negotiations or an auction and the Bidder does not modify its bid during the second round, the bid remains binding for the period specified in this invitation.

The Supplier is not in arrears with the payment of taxes, fees, or social security or health insurance contributions.
3) The Contractor is obligated to ensure the lawful performance of the service at the place of performance and to provide the documents required for the continued operation of the containers in Poland, in accordance with Appendix No. 1.
In the event of claims by third parties arising from the infringement of copyrights, patents, or other rights related to the performance of the contract, the Supplier/Contractor shall assume liability for such claims. Should the Ordering Party incur any losses resulting therefrom, such losses shall be compensated by the Supplier/Contractor
, including all additional costs, court costs, and legal fees.
4) To meet the above conditions, the Supplier is required to submit an appropriate statement when submitting a bid through the procurement platform.
5) The Contractor shall demonstrate that, during the 5-year period preceding the bid submission deadline—or, if the period of business operation is shorter, during that period—it has duly performed at least one inspection and testing service for a MEGC container intended for hydrogen transport and equipped with pressure-bearing components (including pressure and leak testing).
6) As proof, the Contractor shall submit, along with the bid, a list of services specifying the client, completion date, type of equipment, and scope of work, as well as references or other documents confirming proper performance.
7) To confirm compliance with the requirements specified in Section 7 of Appendix No. 1, the Contractor shall, along with the bid, identify the entities performing activities requiring certifications, specify the scope of work performed by them, and submit documents confirming the certifications relevant to those activities.
The involvement of external entities and subcontractors is permitted. The Contractor is responsible for ensuring their participation in the performance of the contract.
8) The Contracting Authority reserves the right to request that the Contractor provide documents confirming compliance with the above requirements (e.g., an extract from the relevant registry or a certificate from the “CEIDG” (Central Register of Business Activity), relevant certificates from the head of the tax office and the Social Insurance Institution (ZUS) or the Agricultural Social Insurance Fund (KRUS) branch, references, and lists of employees).
13. Clarifications to the Request for Proposals.

for clarification regarding the content of the Request for Proposals.
2) Questions must be submitted via the procurement platform.
3) The clarifications will be provided via email or by updating the Request for Proposals on the procurement platform.
